Terms of Service

1. Introduction

These Terms of Service govern the relationship between Christian Kruf (the "Provider") and the client when providing services in the areas of process automation, software development, and AI consulting.

2. Services

The Provider offers the following services:

  • Automation audit and consulting
  • Quick automation of specific processes
  • Development of custom internal tools and applications
  • System integration and data connectivity
  • AI consulting and implementation

The specific scope of services, price, and delivery dates are always determined individually in a written offer or contract.

3. Contract Formation

A contract is formed by:

- Written confirmation of the order by the Provider, or - Signing of a work contract or mandate contract by both parties

A non-binding consultation does not constitute contract formation.

4. Price and Payment Terms

Payment terms:

  • The price for services is specified in the offer or contract.
  • For projects over 50,000 CZK, a deposit of 30–50% may be required.
  • Invoices are due within 14 days of issuance, unless otherwise agreed.
  • Payment is made by bank transfer to the account specified on the invoice.
  • In case of late payment, the Provider is entitled to charge late payment interest according to the Civil Code.

5. Provider's Rights and Obligations

The Provider undertakes to:

  • Provide services in the agreed scope and quality.
  • Inform the client about project progress.
  • Protect the client's confidential information.
  • Deliver work results including documentation to the client.

6. Client's Rights and Obligations

The client undertakes to:

  • Provide necessary information and cooperation for project implementation.
  • Pay the price for services in the agreed amount and on time.
  • Promptly inform about change requests or issues.
  • Use the delivered solution in accordance with the agreed terms.

7. Intellectual Property

Software and Code: Unless otherwise agreed, the client obtains the right to use the delivered software for their internal purposes. Copyrights to generally usable components and tools remain with the Provider.

Client Data: All client data and business information remain the client's property.

8. Liability and Limitation of Liability

The Provider is liable for damages caused by breach of contractual obligations within the limits established by law.

Limitation of liability:

  • The Provider is not liable for damages caused by improper use of the delivered solution.
  • The Provider is not liable for data loss caused by lack of backup on the client's side.
  • The maximum amount of damages is limited to the price paid for the specific project.
  • The Provider is not liable for indirect damages (loss of profit, lost opportunity).

9. Complaints and Warranty

Warranty: The Provider provides a warranty for proper functioning of the delivered solution for 30 days from delivery.

Complaints: The client must report defects in writing without undue delay. The Provider will remedy defects within a reasonable time.

10. Contract Termination

The contract may be terminated by:

- Performance (project completion and payment) - Agreement of both parties - Withdrawal in case of material breach of contractual obligations

In case of client withdrawal before completion, the Provider is entitled to payment for work already performed.

11. Confidentiality

Both parties undertake to protect the other party's confidential information and not use it for purposes other than fulfilling the contract.

Confidentiality continues even after termination of the contractual relationship.

12. Governing Law and Dispute Resolution

Governing Law: These terms are governed by the laws of the Czech Republic.

Dispute Resolution: In case of a dispute, the parties will attempt to find an amicable solution. If they do not reach agreement, disputes will be resolved by the competent court in the Czech Republic.

13. Final Provisions

These Terms of Service take effect on February 2, 2026.

The Provider reserves the right to change these terms. The current version is always available on the website.

If any provision of these terms is invalid, it does not affect the validity of other provisions.
